1. General
These Terms and Conditions (“Agreement”) govern all sales of products, equipment, parts, and services (“Products”) provided by Knoveltech (“Company,” “we,” “us,” or “our”) to the customer (“Customer,” “you,” or “your”). By placing an order, accepting delivery, or using our Products or services, you agree to be bound by these Terms and Conditions.
2. Orders and Acceptance
All orders are subject to acceptance by Knoveltech. We reserve the right to accept or reject any order at our discretion. Orders may not be canceled or modified without prior written consent.
3. Pricing and Payment
- All prices are subject to change without notice unless otherwise agreed in writing.
- Payment terms will be specified on the invoice or quotation.
- Late payments may be subject to interest charges at the maximum rate permitted by law.
- Customer is responsible for all applicable taxes, duties, and fees unless otherwise stated.
4. Shipping and Delivery
- Delivery dates are estimates and not guaranteed.
- Risk of loss and title transfer to the Customer upon shipment.
- Knoveltech is not responsible for delays caused by carriers, manufacturers, or events beyond our control.
5. Installation and Site Requirements
Customer is responsible for ensuring that the installation site meets all necessary requirements, including space, electrical, and environmental conditions. Any delays or additional costs resulting from site readiness issues are the responsibility of the Customer.
6. Returns and Cancellations
- Returns require prior written authorization from Knoveltech.
- Approved returns may be subject to restocking fees.
- Custom, special-order, or refurbished items may not be eligible for return.
7. Warranty
- New equipment may be covered by manufacturer warranties.
- Refurbished or used equipment may carry a limited warranty as specified at the time of sale.
- Warranty does not cover damage due to misuse, improper installation, unauthorized modification, or normal wear and tear.
8. Limitation of Liability
To the fullest extent permitted by law, Knoveltech shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, business interruption, or loss of data. Our total liability shall not exceed the purchase price of the Product.
9. Service and Support
Knoveltech may offer maintenance, repair, and technical support services. Service agreements, if applicable, will be governed by separate terms outlined in the service contract.
10. Compliance and Use
Customer agrees to use all Products in compliance with applicable laws, regulations, and industry standards. Customer is responsible for ensuring proper licensing, certifications, and operational compliance.
11. Intellectual Property
All trademarks, logos, and materials provided by Knoveltech remain the property of Knoveltech or its licensors. No rights are granted to Customer except as necessary for the use of the Products.
12. Force Majeure
Knoveltech shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, labor disputes, supply chain disruptions, or governmental actions.
13. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
14. Entire Agreement
These Terms and Conditions constitute the entire agreement between Knoveltech and the Customer and supersede all prior agreements, representations, or understandings.
